Drawing on research with 419 directors, senior executives and key decision-makers, the UTS Human Technology Institute and the Australian Institute of Company Directors has released a second edition of the A Director's Guide to AI Governance.

AI is reshaping how all Australian organisations operate, innovate and create value.
First published in 2024, the AI governance resources have been updated as technology continues to advance at a rapid rate, with agentic AI offering promise for greater automation and system integration.
“The feedback we got from the first edition in 2024 was that it was instrumental in initiating structured, thoughtful engagement on AI in thousands of boardrooms in Australia and around the world,” said co-author Nicholas Davis.
“This new edition updates the content and thinking in line with both the significant capability advancements of AI systems themselves, but more importantly, the insights we've gained from the hundreds of webinars, deep strategy discussions, roundtable events, case studies, in-depth surveys and 1:1 interviews with corporate leaders as AI adoption has accelerated.”
AI presents profound opportunities for all Australian organisations to enhance productivity, improve decision-making and deliver innovative products and services. Yet it also introduces complex and often interconnected risks, including cyber security and data governance.
Boards play a key role in governing the balance between opportunity and risk.
Nicholas thanked the AICD team for its continued collaboration, as well as the directors and stakeholders who shared their experiences, insights and feedback throughout the development of the guide’s second edition.

The updated resources are designed to equip all boards with the insight needed to navigate AI with confidence, promoting innovation from AI in a responsible manner, including oversight of the human impact of AI on employees, customers and broader stakeholders.

These resources provide directors with a practical framework to establish structured and effective governance that supports the safe, responsible and strategic use of AI,” Nicholas said.

The suite of AI governance resources includes:
- A Director's Guide to AI Governance, which provides the foundations for understanding the AI governance landscape and practical guidance for boards using, or planning to use, AI within their organisations, together with a concise Snapshot summarising the guide's key insights.
- An AI Governance Checklist for SME and NFP Directors, recognising the unique needs of small and medium-sized enterprises and not-for-profit organisations, and their significant contribution to the Australian economy.
